END USER LICENSE AGREEMENT (EULA)

PASSIVAI® LTD - Software, Apps and AI Tools

Effective Date: 26th February 2025

This End User License Agreement ("EULA") is a legal agreement between PassivAi® Ltd ("Company", "We", "Us"), a company registered in the United Kingdom, and you ("User", "Licensee") for the use of the various software, tools and Apps owned by PassivAi® Ltd, (the "Software").

By accessing, downloading, or using the software, you agree to be bound by this EULA

1. ACCEPTANCE OF TERMS

By using the software, you indicate that you have read, understood, and accepted this EULA.

You agree to this EULA in one of two ways:

☑ By checking a box or clicking an "I Agree" button where presented at the point of registration, purchase, or access.

☑ By continuing to use this website or the software/tool, even if no explicit checkbox is presented.

If you do not agree, you must discontinue use immediately.

2. GRANT OF LICENSE

PassivAi® Ltd grants you a non-exclusive, non-transferable, revocable license to use the software for personal or business use, subject to the following conditions:

2.1 Permitted Use – You may use the Software for creating, refining, and structuring your core offer and messaging.

2.2 Restrictions – You may not:

Sell, sublicense, rent, lease, or distribute the Software.
Reverse-engineer, decompile, or modify the Software.
Share or reproduce the generated content for resale unless explicitly permitted.

2.3 Access Limits – This license allows for one-time use, unless you have purchased additional access.

3. INTELLECTUAL PROPERTY

3.1 Ownership – The Software, algorithms, and generated content structures are the exclusive property of PassivAi® Ltd.

3.2 No Transfer of Rights – This EULA does not grant ownership rights in the Software or its intellectual property.

4. LIMITATION OF LIABILITY & DISCLAIMERS

4.1 No Guarantee of Results – While the software provides structured outputs, PassivAi® Ltd does not guarantee specific business outcomes.

4.2 "As Is" Software – The Software is provided "as is" and "as available", without warranties of any kind, expressed or implied.

4.3 Liability Limitation – PassivAi® Ltd shall not be liable for any loss of profits, business interruptions, or indirect damages resulting from its use.

5. DATA USAGE & PRIVACY

5.1 Data Collection – By using the software, you acknowledge that PassivAi® Ltd may collect non-personally identifiable data for performance monitoring and improvement.

5.2 GDPR Compliance – Your personal data will be handled per UK GDPR and our Privacy Policy.

6. TERMINATION

6.1 Automatic Termination – This EULA terminates automatically if:

You breach any of its terms.
PassivAi® Ltd discontinues the Software.

6.2 Effect of Termination – Upon termination, you must cease all use of the software, and PassivAi® Ltd may revoke access without notice.

7. GOVERNING LAW & DISPUTE RESOLUTION

7.1 Governing Law – This EULA is governed by the laws of England and Wales.

7.2 Dispute Resolution – Any disputes shall first be attempted to be resolved amicably. If not, they shall be settled in the courts of England and Wales.

8. GENERAL TERMS

8.1 Changes to EULA – PassivAi® Ltd reserves the right to update this EULA. Continued use after modifications implies acceptance.

8.2 Entire Agreement – This EULA constitutes the entire agreement between you and PassivAi® Ltd regarding the software.
